Terms & Conditions

1. General

Welcome to the Huddle Furniture Ltd website. If you continue to browse and use this website or place an order with us you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy govern Huddle Furniture Ltd relationship with you in relation to this website. We do not accept any terms or conditions contained in any Customer Purchase Orders or other Business Forms, unless agreed in writing by a Huddle Furniture Ltd Director.

The term “Huddle Furniture Limited” or “us” or “we” refers to the owner of the website. The term “you” refers to the user, viewer, customer, company or organisation purchasing from our website.

'Goods' means the goods (including any installation of goods or any parts of them) which Huddle Furniture Ltd is to supply in accordance with these conditions. Any reference in these terms and conditions to singular includes plural.

The use of this website is subject to the following terms of use:

2. Prices and Quotations

Prices are quoted exclusive of VAT, which is then added at point of ordering. 

Although every effort is made to ensure the prices stated in the website are correct, should an error on price occur, and an order is placed, you will be informed and given the option of continuing the order at the correct price or cancelling the order. We will make all reasonable endeavours to ensure that goods are available at these prices; however we retain the right to reduce or increase prices at any time without prior notice, except with respect to orders which have been accepted prior to any price modifications.

All quotations provided are valid for a period of 30 days only, unless otherwise agreed in writing. Pro Forma invoices are also valid for 30 days also.

Where possible, our prices include free delivery. If there is a separate delivery charge this will be clearly shown and added at checkout. Delivery is to UK mainland.

3. Payment

Payment is required in full with each individual order unless otherwise agreed with Huddle Furniture Ltd. Payment can be with Credit or Debit Cards, PayPal or we can supply a proforma invoice to enable the Customer to make payment directly to the Huddle Furniture Ltd bank account or by cheque. Upon receiving payment by card, we may perform a fraud check on the card used, and may ask for further information to process your order. 

A credit account can be opened providing you’ve been trading for one year, are registered for VAT, and can provide necessary trade references. We reserve the right to deny any credit application without any reason. Payment terms are upon delivery for the first order, thereafter our payment terms are 30 days from date of invoice, unless otherwise specified by Huddle Furniture Ltd . All Government bodies including Councils, Schools, Universities, NHS etc qualify for instant credit facilities.

If the customer fails to make payment by the due date then all sums owed to Huddle Furniture Ltd by the customer on account or otherwise, shall immediately become due and payable in full, and Huddle Furniture Ltd shall be entitled to:

Cancel the contract or suspend any further deliveries into the Customer

Appropriate any payment made by the Customer to such goods as we see fit

Charge the Customer interest on the amount unpaid at the rate permitted under applicable law

4. Orders

Any order accepted by Huddle Furniture Ltd shall be subject to these terms and conditions.

Huddle Furniture Ltd’s trading policy is to supply account customers against official Customer orders. The proper control and authorisation of official orders is deemed to be the responsibility of the customer. Huddle Furniture Ltd cannot accept liability for either the incorrect use or abuse of Customer official orders.

Huddle Furniture Ltd reserve the right at any time and without explanation to:

a. Refuse to accept an order

b. Cancel an order

c. Suspend deliveries against an order whether or not an account is in arrears

d. Refuse cancellation of an order

e. Cancel unexecuted instalments of an order

No variation of an order will be recognised unless otherwise agreed by Huddle Furniture Ltd in writing.

Customers are responsible for checking the accuracy of any order acknowledgments. No claims for discrepancies between the goods and quantities ordered and those supplied will be accepted where goods supplied are in keeping with those acknowledged.

5. Delivery

If a delivery period is specified in the contract it shall commence on the date upon which Huddle Furniture Ltd confirms or accepts the Customer’s order, or (if later) when Huddle Furniture Ltd receives any further information from the Customer which shall be supplied promptly, which may be necessary for the contract to proceed.  Delivery times are quoted in good faith but shall be non-binding. Huddle Furniture Ltd will not be responsible for any losses incurred by the Customer or any persons as a result of a delay in any part of the delivery. We reserve the right to make partial deliveries.

The due performance of the contract is subject to cancellation or variation as the seller may find necessary as the result of instructions or lack of instructions from the Customer.

All items will be delivered to ground floor or goods-inwards areas, or kerbside if sufficient offloading facilities are not available. Assistance must be provided by the Customer; failure to do so may result in the delivery being aborted and additional charges imposed. If further assistance or installation is required this must be made clear at point of purchase. 

Deliveries will be flat packed for self assembly unless stated otherwise. If goods are to be installed then the area must be clear, accessible and free from other trades or workers. We reserve the right to pass on charges we incur due to delays incurred by the Customer. We will not remove old furniture unless this is agreed prior to purchase.

Deliveries must be checked and accounted for prior to signing the delivery note. Any damages or shortages must be noted on the delivery note and reported to Huddle Furniture Ltd on 01844 299344 within 24 hours. Failure to do so may result in a claim being rejected. We reserve the right to request photos of damages to determine the appropriate action to be taken. Goods that are deemed damaged by situational influences will not be accepted. Claims will not be accepted if the delivery note is signed without checking or marked “unchecked”.

A signature is always required for any item being delivered.

6. Risk and Retention of Title

Goods remain the property of Huddle Furniture Ltd until full payment has been received. Until full payment is received, Huddle Furniture Ltd may at any time recover the goods and enter the Customer’s premises for this purpose. Ownership of the Products will only pass to you when we receive full payment of all sums due in respect of the Products, including delivery charges.

The risk passes to the Customer on delivery of goods, regardless of whether Huddle Furniture Ltd has received full payment. The Customer is liable for insuring in the joint names of the parties the goods against loss or damage at the full invoice value until Huddle Furniture Ltd have received full payment. 

7. Cancellations

In order to facilitate quick deliveries, orders placed with Huddle Furniture Ltd will be processed immediately, and raw materials, fabrics & transport will be booked against this order.

If you need to cancel your order, please contact us immediately on 01844 299344. Huddle Furniture Ltd will endeavour to reduce any costs of cancellation however there will be a partial or entire cancellation charge levied to the customer to cover materials costs as well as the admin fee of refunding the payment

Goods will only be accepted back for credit with the express permission of Huddle Furniture Ltd. Please contact us upon delivery on 01844 299344 for instructions. Made-to-order items cannot be cancelled after despatch from the warehouse. Made to order goods found unsuitable cannot be returned and no credit will be given. Refused deliveries of made-to-order items are not eligible for credit. Our refund policy does not apply to made-to-order items, which cannot be returned or exchanged unless faulty. The above conditions do not affect your statutory rights when goods are faulty, or not as described. Goods must be returned in their original packaging, unused, unassembled and in a resaleable condition. The buyer shall unless otherwise stated be responsible for the cost of the return carriage of all goods returned which shall be at the risk of the buyer until actual return and receipt of the goods to a specified location marked clearly For the Attention of Huddle Furniture Ltd. Proof of return delivery will remain with the buyer. We reserve the right to charge for incomplete returns and re-stocking and administration charges for goods ordered in error. 

8. Description

The Company’s specifications, drawings, descriptive matter, weights and dimensions are given as a guide in good faith, and are subject to alteration by the seller without notice and none of these shall form part of the contract. All maximum load capacities stated are for evenly distributed loads only. 

9. Consequential Loss

Except in respect of death or personal injury caused by the seller’s negligence, or as herein provided, the seller shall not be liable to the buyer for any consequential loss or damage (whether for loss or profit or otherwise) costs or expenses or their claims for consequential loss whatsoever which arise out of or in connection with the supply of the goods or their use or re-sale.

10. Guarantees, Warranties & Limitations of Liability

Huddle Furniture Ltd does not supply goods with the benefit of any term, warranty or condition as to the suitability of the goods for any purpose except as provided by law. We will assign to the buyer all rights conferred on it by any of its suppliers. We shall have the option to repair or replace (or at its sole discretion, refund to the Customer the price of the goods without any further liability) parts agreed by it as being defective if the goods are returned to us within the guarantee period as stated.

Goods subjected to fair wear and tear, neglect, abuse, tampering, defective maintenance, alteration, modification, misuse, loss or damage due to fire, smoke, water, lightening, sunlight, weather, rusting, corrosion, theft or explosion; accidental damage or loss or damage caused by a third party misuse are excluded from this guarantee. Goods covered are subject to single shift working only. In no case shall the liability of Huddle Furniture Ltd exceed that of the actual manufacturer of the goods.

Huddle Furniture Ltd accept no liability for variations in colour, finish, materials and any other aspect of appearance that may occur from time to time. The images shown on site are for reference only- samples of each finish are available upon request.

We will arrange to repair or replace the defective or incorrect item free of charge. Should a part no longer be available, it will be replaced with a part that most closely matches it.

Huddle Furniture Ltd do not accept liability for failure to comply with any standards or regulations required by law in respect of goods supplied by Huddle Furniture Ltd or for indirect or consequential loss or damage arising from such goods.

11. Insolvency or Default

If the Customer shall commit any breach of the Conditions or be or become insolvent or unable to pay his debts or commit any act of bankruptcy or (being a limited company) go into liquidation other than a voluntary liquidation for the purpose of amalgamation or reconstruction only or have a Receiver appointed of its undertaking or assets or a substantial part thereof Huddle Furniture Ltd may without notice suspend or determine the contract or the unfulfilled parts thereof and stop any goods in transit without prejudice to any other right or remedy which Huddle Furniture Ltd may lawfully enforce or exercise.

12. Force Majeure

The Company reserves the right to defer the date of provision of the Supplies, or to cancel the Contract or reduce the volume of the Supplies ordered by the Customer (without liability to the Customer) if it is prevented from, or delayed in, the carrying on of its business (wholly or in part) due to circumstances beyond the reasonable control of the Company including, without limitation, acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, flood, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to either party's workforce), or restraints or delays affecting carriers, or any inability or delay in obtaining supplies of adequate or suitable materials, or the failure or demise of any source of supply.

13. Applicable Law

The contract shall be governed construed and enforced according to English law.

14. Product Designs

We reserve the right to change or alter designs and specifications without prior notice.

15. Legitimate use of details

We will not provide any of your personal information to other companies or individuals without your permission. However, we will need to provide your name and delivery address to third parties that we use for the purposes of delivering specific services to you (e.g. delivery of your goods).

16. Data storage in the U.K.

Any information that we need to store and process will be carried out on databases located in the UK and fully in line with UK/EU legislation

Links to third party sites may appear on this site. Since we do not control those web sites, we encourage you to review the privacy policies of such third party sites.

18. Copyrights

By accessing or using the site, you agree to be bound by the terms and conditions set out below (if you do not wish to be bound by these terms and conditions, please leave this site immediately). We may modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement on the site. The entire contents of this site are protected by British and international copyright laws. The copyright to all items on this site is asserted by Huddle Furniture Ltd.

You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute, in any manner, the material on this site, including text, graphics, code and/or software. You may print and download portions of material from the different areas of the site solely for your own non-commercial use provided that you agree not to change/alter or delete any copyright or proprietary notices from the materials.

We take all reasonable steps to ensure that the information on this Website is correct. However, we do not guarantee the correctness or completeness of material on this Website. We may make changes to the material on this Website at any time and without notice. The material on this Website may be out of date, or on rare occasions incorrect and we make no commitment to ensure that such material is correct or up to date. Due to different screen resolutions some Colours may appear different depending upon the device they are viewed on, it is the responsibility of the purchaser to ensure they order the correct Colours. We accept no responsibility for any items that have been ordered incorrectly.
